Pricing Notice

Important note: this Notice describes the pricing methodology applied by YouHodler to the Service of Exchange of crypto-assets for funds or for other crypto-assets (Article 3(1)(19) and (20) of Regulation (EU) 2023/1114 – MiCA), including transactions involving USDC and EURC, for counter-values below the Operational Threshold of €50,000.

Transactions with a counter-value equal to or above that threshold are provided as an order-execution service on behalf of clients, governed by a separate Execution Policy. Such transactions follow distinct rules and policies.

1. Purpose and scope

This Pricing Notice describes the method used by YouHodler Italy S.r.l. (“YouHodler” or the “Company”) to determine the price applicable to the purchase or sale of crypto-assets — including USDC and EURC — against fiat currencies or against other crypto-assets, where the Company acts as the Client’s direct counterparty using the Company’s own capital (the “Exchange Service”).

This method applies to all crypto-assets handled within the Exchange Service, which for this purpose are grouped into three classes — Class A, Class B and Class C, described in Section 2 — and is intended to ensure clarity, transparency and fairness, in accordance with Article 77(2) of Regulation (EU) 2023/1114 (MiCA).

2. Determination of the reference price and the applicable spread

When you initiate a transaction on the Platform to buy or sell a crypto-asset — including EMTs (Electronic Money Tokens) such as USDC or EURC — against fiat currencies or against other crypto-assets, for a counter-value below the Operational Threshold of €50,000, you will see a real-time updated exchange rate, already inclusive of the spread described below.

This rate is derived from the real-time bid/ask quotes provided by three independent Liquidity Providers, securely integrated via API. Only quotes that are actually executable for the size of the requested transaction are used.

The displayed rate indicates the conversion value between one unit of fiat currency and the corresponding amount of cryptoasset or EMT.

The reference price is determined by aggregating the quotes obtained from the three Liquidity Providers, weighted according to the liquidity (depth) actually available from each of them at the top price levels: it is therefore a weighted average of the available quotes, and not the result of a best-quote-among-those-available criterion, which the Company does not adopt.

On the reference price so determined, the Company applies a margin, referred to as the spread, added in purchase transactions and subtracted in sale transactions: the rate you see is therefore already inclusive of the applied spread.

For the purposes of determining the spread, crypto-assets — including USDC and EURC — are grouped into three classes (Class A, Class B and Class C), identified on the basis of market capitalisation and liquidity requirements, each of which is assigned a base spread, a unit mark-up and a maximum spread, published in advance.

The spread applied always falls within the overall range of 0.50% to 2.00%, narrower for Class A and wider for Class C, as the residual class. The spread increases, up to the maximum provided for the relevant class, where greater volatility or lower liquidity of the crypto-asset is detected at the time of the quote.

The spread does not vary depending on the Client’s identity, and no operator has the authority to intervene in the displayed quote.

The Company does not intervene manually, does not manipulate prices, and does not apply variations based on the Client’s profile.

Note: The amount you can convert is subject to limits determined by your economic profile, assessed during onboarding and the KYC process. These limits are calibrated to align with the information provided about your financial background, the source of funds, and the intended use of the Platform.

You can request a review of the limits by providing updated information in the account verification section.

3. Fees and costs

In addition to the spread already incorporated into the exchange rate, described in Section 2, your transaction may be subject to separate fees, which are:

  • calculated and displayed separately from the exchange rate;
  • displayed in real time as you set the transaction parameters (asset pair, amount, direction);
  • charged only at the time of execution and deducted directly from the incoming amount of the conversion.
  • The total transaction amount, including costs, is always shown before confirmation.

For your convenience, a complete and up-to-date list of fees and limits is available here: YouHodler Commissions and Limits.

4. Price confirmation and slippage protection

To protect you from price variations due to market volatility (known as “slippage”), the system activates a fifteen-second confirmation window, automatically reduced to five seconds in the presence of high market volatility.

If you do not confirm within the time allowed, the rate automatically expires and, if you wish to try again, a new rate updated to the most recent market conditions will be shown.

This mechanism ensures that you execute the transaction at the clearly indicated and accepted rate, minimising the impact of sudden fluctuations.

5. Execution and transparency

Once the transaction is confirmed by the Client, it is executed automatically and immediately at the agreed rate.

Execution is final and irrevocable; a time-stamped confirmation is generated immediately and can be viewed on the Platform.

The entire process is managed by the Company’s automated execution engine, which ensures the absence of manual intervention, discretionary pricing, or the possibility of modification at any stage.

You can check the confirmed exchange rate, the fees applied, and the final net amount both on the confirmation screen and in your account history.

6. Fairness and pricing free of conflicts of interest

YouHodler’s pricing system is designed to ensure non-discriminatory access and equal treatment for all Clients.

For the same crypto-asset, transaction size and market conditions observed at the same instant, all Clients see the same rate: the price-determination parameters are objective and do not depend in any way on the account type, economic profile, or status of the Client.

For the same Client, the rate may instead vary depending on the crypto-asset, the liquidity and volatility conditions observed at the time of the quote, and the size of the requested transaction, according to the objective criteria described in Section 2.

The reference price is derived from the quotes of independent and reliable third-party Liquidity Providers, according to the objective methodology described in Section 2; the Company applies to that price the spread described therein, as remuneration for the risk and costs incurred in acting as the Client’s direct counterparty.

Transactions are executed without manipulation or preferential pricing practices: the spread is determined according to predefined, objective parameters published in advance, and is not influenced in any way by discretionary assessments relating to the individual Client.

This transparent and neutral approach, based on objective and non-discretionary parameters, eliminates potential conflicts of interest and ensures that Clients trade at clear rates accepted before confirmation.

It is clarified that, since the Company acts as the Client’s direct counterparty in the Exchange Service, the transaction is not subject to the best-execution obligations under Article 78 of Regulation (EU) 2023/1114, which instead apply exclusively to the order-execution service provided on behalf of clients for transactions with a counter-value equal to or above the Operational Threshold of €50,000, governed by the separate Execution Policy.
